Licenses Terms

1. Introduction

This License Agreement ("Agreement") is a binding legal contract between you ("Licensee") and AIClips ("Licensor"). By downloading, accessing, or using any digital assets from AIClips, you agree to be bound by the terms of this Agreement.

 

2. Definitions

  • Digital Assets: Refers to all content available for download on the AIClips platform, including but not limited to stock images, videos, vectors, templates for After Effects, Premiere Pro, and Edius 11, and audio effects.
  • Regular License: A license granting limited usage rights for a single project.
  • Extended License: A license granting broader usage rights for multiple projects.
  • Subscription Plan: A recurring payment plan that allows access to download a specified number of assets during the subscription period.
  • Free Downloads: Digital Assets that are provided at no cost to users.

 

3. License Types

 

3.1 Regular License (Single Use)

The Regular License grants you the non-exclusive, non-transferable right to use the purchased Digital Asset for:

  • One single end product for personal or commercial use
  • One project or production
  • Integration into one website with up to 10,000 monthly visitors
  • Social media posts for a single brand or client with credit attribution
  • Internal presentations and documents
  • Digital advertisements with a total of up to 100,000 impressions

Restrictions:

  • You may not use the asset in multiple projects
  • You may not include the asset in any product for redistribution or resale
  • You may not use the asset in merchandise for sale
  • You may not use the asset in any template or application where the end user can access the original asset file

 

3.2 Extended License (Multiple Use)

The Extended License includes all Regular License rights plus:

  • Use in unlimited projects for a single entity (individual or organization)
  • Integration into multiple websites with unlimited visitors
  • Use in merchandise and products for sale with unlimited production
  • Use in templates or themes for distribution (where the Digital Asset is modified and incorporated as part of a larger work)
  • Digital advertisements with unlimited impressions
  • Broadcast use in television, streaming platforms, or cinema with unlimited viewers

Restrictions:

  • You may not resell or redistribute the Digital Asset in its original form
  • You may not allow others to extract or access the original Digital Asset file
  • You may not register trademarks on works primarily based on the Digital Asset

 

3.3 Subscription Plan

Subscription Plans grant you access to download a specified number of Digital Assets during your active subscription period, with each downloaded asset subject to:

  • All rights under the Regular License apply to each downloaded asset
  • Downloaded assets remain licensed to you perpetually, even if you cancel your subscription
  • All assets downloaded must be used by the Licensee only and cannot be shared, resold, or stored for later redistribution
  • Subscription accounts are for individual use only and cannot be shared among multiple users
  • Downloaded assets must be used within 2 years of download date

 

3.4 Free Downloads

Free Downloads are provided under the following conditions:

  • Free Digital Assets may be used for educational and personal use only
  • Commercial use of any kind is strictly prohibited
  • Use is limited to personal projects, educational assignments, learning exercises, and non-commercial research
  • Free assets must include attribution to AIClips in any published or shared work
  • Free assets cannot be redistributed, shared, or made available for download by others
  • Free assets cannot be included in any product or service, whether free or paid
  • Free assets cannot be used for any organizational, institutional, or business purposes, even if not directly generating revenue
  • AIClips reserves the right to change the status of free assets at any time
  • Educational institutions may use free assets for classroom instruction and student assignments only

 

4. Additional Terms

 

4.1 Intellectual Property Rights

  • AIClips retains all rights, title, and interest in the Digital Assets, including all intellectual property rights
  • No ownership or copyright in the Digital Assets is transferred to the Licensee
  • AIClips warrants that the Digital Assets are AI-generated and free from third-party copyright claims

 

4.2 Prohibited Uses

Digital Assets may not be used in:

  • Any content that is defamatory, libelous, pornographic, or promotes illegal activities
  • Any context that could be considered derogatory or discriminatory toward individuals or groups
  • Products that compete directly with AIClips offerings
  • As part of a logo or trademark without purchasing the Extended License
  • Political campaigns without explicit written permission
  • Projects that suggest endorsement by AIClips

 

4.3 Modification Rights

  • You may modify, manipulate, and alter the Digital Assets as needed for your projects
  • The rights to any derivative work you create are subject to the limitations of your license type
  • Modified versions remain subject to this Agreement

 

4.4 Attribution

  • Attribution is not required for Regular or Extended License uses, except for social media posts under Regular License
  • AIClips appreciates voluntary attribution when practical

 

4.5 Indemnification

You agree to indemnify and hold harmless AIClips from any claims, damages, or liabilities arising from your use of the Digital Assets or violation of this Agreement.

 

4.6 Liability Limitations

AIClips' total liability shall not exceed the amount paid by you for the Digital Asset(s) in question.

 

4.7 License Tracking

  • AIClips may implement reasonable technological measures to track usage and ensure compliance with license terms
  • You agree not to circumvent such measures

 

4.8 Termination

  • AIClips reserves the right to terminate your license if you breach any terms of this Agreement
  • Upon termination, you must cease all use of the Digital Assets and destroy all copies

 

4.9 Transfer of License

  • Regular Licenses are non-transferable
  • Extended Licenses may be transferred once to another individual or entity with prior written consent from AIClips

 

4.10 Agencies and Freelancers

  • Agencies and freelancers may purchase licenses on behalf of their clients
  • The end client must be specified at time of purchase
  • Transfer of rights to the client requires documentation

 

4.11 Educational Use

Educational institutions may qualify for special licensing terms. Contact AIClips for details.

 

4.12 Comp License

You may use watermarked or low-resolution previews of Digital Assets for comp or layout purposes only. These must be replaced with properly licensed assets before publication or distribution.

 

4.13 Platform and Territory Restrictions

Licenses are valid worldwide with no restrictions on platforms or territories unless specifically noted in the asset description.

 

5. General Provisions

 

5.1 Modifications to Terms

AIClips reserves the right to modify these terms at any time. Changes will be effective upon posting to the AIClips website.

 

5.2 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Indian Law, without regard to its conflict of law principles.

 

5.3 Dispute Resolution

Any dispute arising under this Agreement shall be resolved through binding arbitration in Indian Law.

 

5.4 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.

 

5.5 Entire Agreement

This Agreement constitutes the entire understanding between you and AIClips regarding the subject matter.
